01About these terms
These terms apply to mokudigital.com and the services MOKU Digital provides. For a specific project, the written proposal, quote or statement of work we agree with you forms part of the agreement and takes precedence over anything on this page.
02Information on this site
Content on this site is general information about our services, not professional advice, and availability of services isn't guaranteed.
03Services and scope
What we deliver for a project is defined in the written proposal or statement of work: deliverables, inclusions and exclusions, timeline, fees, ownership and handover. Anything outside that scope is a variation.
04Quotes and variations
Quotes are valid for the period stated on them. Variations are scoped and approved in writing before work begins, at the rates set out in the proposal. Costs such as hosting, domains, licences or platform apps are billed as stated in the proposal.
05Your responsibilities
- Provide timely feedback and approvals so the project keeps moving.
- Nominate a decision-maker with authority to approve work.
- Supply accurate content and confirm you hold any permissions, licences or rights needed to use text, images, fonts and trademarks you give us.
- Never send credentials through forms; where we need access, provide it through secure and agreed means.
Delays caused by late inputs or approvals shift project timing accordingly.
06Fees and payment
Fees, deposits and the payment schedule are set out in the proposal. Invoices are payable by the date stated. We may pause work on a project while materially overdue invoices remain unpaid. Hosting, licences and third-party costs are billed as agreed.
07Timelines
Timelines are good-faith estimates that depend on timely inputs from you and third parties. When inputs are late or external factors change, we'll tell you early and confirm revised dates in writing.
08Third-party platforms and AI-assisted work
Projects often involve third-party platforms such as hosting providers, Shopify, analytics or vetted AI tools. Their terms govern your use of those services, and we configure within documented capabilities. Where we use AI-assisted development or creative production, people direct and review the work before delivery.
09Intellectual property
On final payment for each deliverable, you own the deliverables set out in your statement of work, unless third-party licences (such as fonts, stock or platform components) apply. We retain ownership of our pre-existing tools, internal systems, methods and template code, and the right to reuse general skills and knowledge. Where the proposal allows, we may reference non-identifying details of your project in our portfolio; you can ask us to stop at any time.
10Content you provide
You confirm that materials you supply don't infringe any person's rights or breach any law. You agree to cover claims against us arising from materials you supply, to the extent permitted by law.
11Confidentiality
Each party keeps the other's non-public business information confidential, except where disclosure is required by law.
12Hosting, security and availability
Where hosting, maintenance or monitoring is included, we deliver it as described in your plan or proposal. Third-party platforms occasionally change or become unavailable, and upstream outages are outside our control. Security work is performed within the agreed scope, and no system can be guaranteed completely secure.
13Warranties and liability
We perform our services with reasonable care and skill. To the maximum extent permitted by law, we are not liable for indirect or consequential loss. Nothing in these terms excludes, restricts or modifies any consumer guarantee under the Australian Consumer Law. Where we are liable, our total liability is limited to the fees paid for the affected service unless the proposal states otherwise.
14Suspension and termination
Either party may end an engagement for material breach that isn't corrected within a reasonable period, or as set out in the proposal. On termination, completed work is invoiced, final deliverables are handed over once payment is complete, and outstanding fees become due.
15Governing law
These terms are governed by the laws of New South Wales, Australia. The parties agree to discuss issues in good faith first; otherwise, disputes are resolved in the courts of New South Wales.
16Changes to these terms
We may update these terms and post the current version on this page. Changes won't materially reduce your rights on an active engagement without agreement.
